THIS AGREEMENT made as of 30/08/2026, by and between LockrGrid, LLC, with address at 1021 E
Lincolnway, Cheyenne, WY 82001, United States (hereinafter referred to as "LockrGrid, LLC"),
herein represented by its undersigned legal representatives and , a company/institution with
principal place of business at , US, document (hereinafter referred to as "LICENSEE").

WITNESSETH THAT:
WHEREAS, LockrGrid, LLC is in the business of remotely controlling and managing lockers and owns
rights related to the remote management of lockers;
The system is based on a method for managing lockers remotely, which was previously patented
under U.S. Patent No. 8,471,675 B2. Since the patent has expired, it has entered the public
domain.
WHEREAS, LICENSEE desires to implement the services of remote control and management of locker
assignment agreements in its institution(s);
WHEREAS, LockrGrid, LLC agrees to authorize the use of the LockrGrid system by LICENSEE for
remote management of lockers owned by LICENSEE and made available to its users.
NOW, THEREFORE, LockrGrid, LLC and LICENSEE hereby agree as follows:

1. SUBJECT MATTER
1.1 During the term of this Agreement, LockrGrid, LLC grants LICENSEE a non-exclusive right to
use the LockrGrid system for implementation of remote control and management of locker loan or
rental agreements.
1.2 LockrGrid, LLC shall provide LICENSEE with technical guidance necessary to enable use of the
system, including online support during the term of this Agreement.

2. USE OF THE SYSTEM
2.1 The scope of this Agreement is limited to lockers owned or managed by LICENSEE and located
within LICENSEE's premises.
2.2 LICENSEE is solely responsible for the availability, maintenance, repair, physical security
and proper use of its lockers.

3. TERM
3.1 This Agreement becomes effective on the date of acceptance and remains active while LICENSEE
keeps an active contract and subscription with LockrGrid.
3.2 This Agreement may be renewed automatically according to the commercial plan accepted by
LICENSEE.

4. PAYMENT
4.1 LICENSEE shall pay the amounts agreed in the selected commercial plan and in any applicable
subscription, invoice or online acceptance flow.
4.2 Payments may be processed by credit card, bank transfer, invoice or any other payment method
made available by LockrGrid.

5. RESPONSIBILITY AND HOLD HARMLESS
5.1 LICENSEE acknowledges that LockrGrid, LLC's activity is limited to remote management and
control of locker agreements and related data. There is no connection between LockrGrid, LLC
and the actual rental, loan, custody, storage, maintenance or repair of lockers offered by
LICENSEE.
5.2 LICENSEE shall indemnify and hold LockrGrid, LLC harmless from any losses, damages,
accidents, actions or claims arising out of use, rental, loan, availability, maintenance or
repair of lockers by LICENSEE or by LICENSEE's users.
5.3 LICENSEE is solely responsible for disclosing access passwords, invitation links,
registration rules and eligibility criteria to its users.

6. CONFIDENTIALITY
6.1 LICENSEE shall keep confidential all non-public information communicated by LockrGrid, LLC in
connection with this Agreement and the LockrGrid system.

7. TERMINATION
7.1 Either party may terminate this Agreement according to the accepted commercial conditions,
applicable subscription rules or written notice.
7.2 Upon termination, rights granted to LICENSEE cease, except for outstanding payment
obligations, confidentiality obligations and obligations that by their nature survive
termination.

8. MISCELLANEOUS
8.1 The parties acknowledge that this Agreement is accepted online and that the version generated
and stored by LockrGrid shall evidence the accepted terms.
8.2 The failure of either party to enforce any provision shall not be construed as a waiver of
such provision.
8.3 This Agreement constitutes the entire understanding between the parties regarding its subject
matter and supersedes prior understandings related to the LockrGrid system.
8.4 Nothing in this Agreement creates an agency, partnership, joint venture or employment
relationship between the parties.
8.5 Each party must comply with all applicable laws, rules and regulations.

Attachment I - LOCKER LOAN AGREEMENT
The locker loan/rental agreement accepted by LICENSEE's users will be displayed according to the
locker rental contract template configured in LockrGrid.
